I. INTRODUCTORY PROVISIONS
1. Applicability of the Terms and Conditions
1.1. These terms and conditions (hereinafter referred to as the "General Terms and Conditions") are issued in accordance with § 273 of the Commercial Code, as amended, and govern the contractual relations between PROFIN Piešťany spol. s r. o., Vrbovská cesta 5051/110, 921 01 Piešťany, ID number: 34108742, registered in the Commercial Register of the Trnava District Court, section Sro, insert no. 613/T, on the one hand (hereinafter referred to as the "Seller") and by a natural person, legal entity and other legal entities, on the other hand (hereinafter referred to as the "Buyer"), who conclude a purchase contract or Framework Purchase Contract (hereinafter referred to as the "Contract ").
1.2. General terms and conditions of PROFING Piešťany spol. Ltd. apply to all contractual relations between the Seller and the Buyer, related to the sale of Goods or arising in connection with the services provided, from the moment of conclusion of the contract or agreement between the Seller and the Buyer, unless otherwise expressly agreed in the specific contract / agreement.
1.3. The general terms and conditions define and specify the rights and obligations of the Seller and the Buyer (hereinafter referred to as the "Parties"). By concluding the contract / agreement, the Contracting Parties accept that their mutual obligation relationship will be governed by the regime of the Commercial Code and these General Terms and Conditions. All contractual relationships are concluded in accordance with the legal order of the Slovak Republic. Unmodified contractual relations are governed by Act No. 513/1991 Coll. – Commercial Code and Act No. 40/1964 Coll. - The Civil Code, both as amended.
1.4. The General Terms and Conditions are an integral part of all contracts, deals and agreements that will be concluded between the Contracting Parties.
1.5. All deviations from the General Terms and Conditions must be agreed in writing in the relevant contract. The provisions of the contract take precedence over the General Terms and Conditions.
2. Validity of the General Terms and Conditions
The general terms and conditions apply until the complete arrangement of all rights and obligations that arose between the Seller and the Buyer, in the wording valid at the time of the contractual relationship, unless they are changed according to the provisions of par. 3 of this article.
3. Changes to the General Terms and Conditions
3.1. The seller is entitled to modify the General Terms and Conditions from time to time. The wording of changes and additions, or The Seller will publish the full text of the amended General Terms and Conditions on its website www.profing.sk
3.2. Should any provision of these General Terms and Conditions or the contract become invalid or ineffective in any respect under the applicable legislation, the validity, effectiveness or legal integrity of the other provisions will not be affected or affected by this.
As a result of the above, the buyer is obliged without unnecessary delay after receiving the invitation
Seller, conclude an agreement with the Seller, the content of which will be the replacement of such
invalid or ineffective provisions of the General Terms and Conditions or
of a specific provision of the contract, such a provision that corresponds as closely as possible to the meaning and purpose of the original provision.
II. DEFINITION OF TERMS
1. Purchase contract
1.1. Is the purchase contract or Framework purchase contract concluded between the Seller and the Buyer for the sale of Goods according to the provisions of § 409 et seq. Act No. 513/1991 Coll. - Commercial Code, as amended.
1.2. The parties to the contract conclude a Framework Purchase Agreement, or another Agreement, including annexes to the Agreement, as long as the parties to the Agreement are the Seller on the one hand and the Buyer on the other.
1.3. The Purchase Agreement - the Buyer's order is a draft of the Agreement, and the Agreement itself is concluded upon delivery of the Buyer's binding consent to this proposal, or binding confirmation of the order by the Seller. From this moment, mutual contractual rights and obligations arise between the Buyer and Seller.
1.4. At the moment of concluding the Agreement, the Buyer is bound by these General Terms and Conditions and expresses his agreement with them.
2. The seller is a person who, when concluding and fulfilling the Agreement, acts as part of his business or other business activity. It is an entrepreneur who directly or through other entrepreneurs delivers goods or provides services to the Buyer.
